Terms of Service

Profit Agent provides analytics, informational recommendations, and optional tools to help you manage your Shopify catalog and operations, including:

• Weekly product and catalog recommendations based on your store data.
• Draft actions (pricing changes, discounts, bundles, inventory alerts, product content suggestions) that require your explicit approval before Shopify is modified.
• Outcome measurement that compares order data before and after approved actions, presented as observational indicators only (see Section 2).
• Optional abandoned cart recovery initiated by you.
• Campaign link tracking and product audit workflows as described in the app.

Profit Agent is a decision-support tool embedded in your Shopify Admin. It does not operate your store autonomously and does not apply changes without your approval.

Profit Agent provides recommendations and analyses for informational purposes only. We do not guarantee any increase or improvement in sales, revenue, profit, traffic, conversion rate, search engine rankings, SEO performance, or any other business performance metric.

Outcome metrics shown in the app are observational indicators derived from available store data. They describe patterns that occurred in your store over defined periods; they do not prove that a recommendation directly caused a business result. Correlation does not imply causation. Other factors (seasonality, marketing spend, inventory, pricing elsewhere, platform changes, or concurrent store edits) may affect observed variations.

Any estimates, projections, scores, or impact indicators displayed in the app are illustrative and based on available store data. Actual results may differ. Past measured outcomes do not predict future performance.

You remain solely responsible for your store, published content, and business decisions, including:

• All product content, prices, promotions, discounts, and policies published on your storefront.
• Reviewing and approving every draft action before it is applied in Shopify.
• Reviewing, verifying, and editing all AI-generated or automated text, image suggestions, SEO fields, and other outputs before publication or application.
• All content you choose to publish after review, regardless of whether it was generated or suggested by Profit Agent.
• Compliance with applicable laws (consumer protection, advertising, pricing, tax, email marketing, privacy, and industry-specific regulations).
• Obtaining valid consent and providing required notices before sending marketing or recovery messages to customers.
• Maintaining accurate catalog, inventory, and cost data that affects recommendations.
• Managing your Shopify staff accounts and API permissions.

Certain features may generate suggested product descriptions, SEO fields, FAQs, bundle pairings, or similar content using automated or AI-assisted systems.

AI and automated outputs may be inaccurate, incomplete, outdated, or unsuitable for your products, audience, or jurisdiction. They are suggestions only. You must review, verify, and edit all generated content before applying it to Shopify or publishing it to customers. You remain solely responsible for all published content and business decisions based on such output. We are not liable for content you choose to publish or actions you approve after review.

Profit Agent follows a draft-first, merchant-approved workflow. Unless you explicitly confirm an action in the app, Profit Agent does not silently modify your Shopify store, products, discounts, inventory, or other store data.

You are responsible for confirming that each approved action reflects your intent and is appropriate for your business. You may refuse, dismiss, or cancel actions according to in-app workflows. Approved actions are executed through the Shopify Admin API using the permissions you granted at installation.

Profit Agent is an embedded Shopify application that runs within your Shopify Admin. It requires a valid Shopify store and the API permissions displayed during installation or re-authorization.

Your use of Shopify is governed by Shopify's terms, policies, and Partner Program requirements applicable to apps. We are not responsible for Shopify outages, API changes, billing for your Shopify subscription, or third-party apps you install separately.

Paid plans are billed exclusively through Shopify Billing API. By subscribing, you authorize Shopify to charge the recurring app subscription fees shown at checkout for your selected plan. Charges appear on your Shopify invoice and are managed through your Shopify Admin billing settings.

• Plan features, monthly limits (actions, cart recovery messages, AI credits), and pricing are displayed in the app and on our Shopify App Store listing.
• Free and paid tiers may change; we will provide notice where required by Shopify or applicable law.
• Subscriptions renew automatically until cancelled, subject to Shopify's billing rules.
• You may upgrade, downgrade, or cancel a paid subscription from the Billing page inside the app (processed via Shopify Billing), or by uninstalling the app, in accordance with Shopify Billing policies.
• Refunds, proration, and charge disputes are handled according to Shopify Billing policies unless otherwise required by law.
• Failure to pay may result in downgrade, feature limits, or suspension of paid features.

You agree not to misuse Profit Agent, including attempting to bypass plan limits, reverse engineer the service, interfere with other merchants, upload unlawful content, or use the app in violation of Shopify's Acceptable Use Policy or applicable law. We may suspend access to protect the service or comply with legal requirements.

We retain all rights in Profit Agent software, branding, documentation, and underlying technology. You retain all rights in your store content and data. You grant us a limited license to access and process your Shopify data solely to provide the service.

Profit Agent is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant uninterrupted or error-free operation, nor do we warrant that recommendations, analytics, outcome indicators, or AI-generated suggestions will achieve any particular commercial, SEO, or conversion outcome.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, even if advised of the possibility.

Our total aggregate liability arising from or related to Profit Agent shall not exceed the greater of (a) the fees you paid to us for Profit Agent in the twelve (12) months before the claim, or (b) one hundred US dollars (USD $100), except where liability cannot be limited under applicable law.

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your store content, your approved actions, your marketing messages, your violation of these Terms, or your violation of applicable law or third-party rights.

You may stop using Profit Agent at any time by uninstalling the app from Shopify. We may suspend or terminate access if you materially breach these Terms, pose a security risk, or if required by Shopify or law.

Upon termination, your right to use the app ends. Data handling after uninstall is described in our Privacy Policy and Shopify GDPR webhooks (including shop/redact).

Our Privacy Policy at https://profit-agent.app/privacy and our Data Processing Agreement (DPA) at https://profit-agent.app/dpa explain how we process personal data, including as processor for your customers' data. By using Profit Agent, you also agree to the Privacy Policy and DPA.

We may update these Terms from time to time. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires additional consent. We will post the current version on this page and update the "Last updated" date.

These Terms are governed by the laws of France, excluding conflict-of-law rules, except where mandatory consumer or merchant protection laws in your country provide otherwise.

Before formal proceedings, parties agree to attempt good-faith resolution by contacting contact@profit-agent.app. Courts located in France shall have exclusive jurisdiction where permitted by law.
